Terms of Service

These Terms of Service govern your use of Grymey — the invoicing and payment collection platform operated by Grymey Technologies Limited, a company registered with the Corporate Affairs Commission of Nigeria (RC No. 8749776). By creating an account or using our services, you agree to these terms.

Important Notice

Grymey is not a bank or payment processor and does not hold or process customer funds. All payments are handled by licensed and secured third-party providers including Anchor and Monnify. Funds flow directly from your client to your designated bank account through these licensed partners.

1. Who we are

Grymey Technologies Limited is a technology company registered in Nigeria. We operate Grymey Getpaid — a digital platform that enables businesses and freelancers to create invoices, send payment requests, and manage their billing operations.

Grymey is not a bank, financial institution, or payment processor. We do not hold, process, or settle customer funds. All payment processing is handled by licensed payment service providers including Anchor (a CBN-licensed Banking-as-a-Service partner) and Monnify (a CBN-licensed payment service provider). Funds flow directly from your client through these licensed providers to your designated bank account — Grymey never takes possession of your money.

This means you and your clients benefit from the security and regulatory protection of licensed Nigerian financial institutions, while using Grymey's tools to streamline your billing workflow.

2. Your account

You must be at least 18 years old and legally able to enter into contracts under Nigerian law to create a Grymey account.

You are responsible for maintaining the security of your account credentials. Do not share your password with anyone. You are responsible for all activity that occurs under your account.

You agree to provide accurate information during registration and to keep your business profile information up to date. Providing false information may result in account suspension.

3. What Grymey does

Grymey provides tools to:

  • Create and send professional invoices to your clients
  • Generate secure payment links for your clients to pay
  • Facilitate payment collection via bank transfer and card through licensed payment providers
  • Send invoices and payment links via WhatsApp and email
  • Track payment status and manage your client relationships
  • Split invoice payouts with collaborators

4. Fees

Grymey charges no fees to you as a business owner. A small fee is added to your invoice total at the point of payment by our third-party payment providers, and is paid by your client at checkout. You always receive 100% of your invoice amount.

Current fees charged to your client (VAT inclusive):

  • Bank transfer: 2% of invoice amount (minimum ₦400, maximum ₦2,000)
  • Card payment: 3% of invoice amount (minimum ₦600, maximum ₦4,000)

Fees are displayed transparently to your client before they complete payment. Fee structures may change with 30 days' notice communicated to you by email.

Settlement to your bank account typically occurs within 15 minutes of a successful bank transfer payment, subject to bank network conditions. Card payments settle on the next business day (T+1). Settlement timelines are subject to our payment providers' policies and may occasionally vary due to circumstances beyond our control.

5. KYC and compliance

To receive payments, you must complete our Know Your Customer (KYC) verification process. This is required by Nigerian financial regulations and our payment provider partners.

KYC documents may include a valid government-issued ID, proof of business registration (CAC documents), and proof of address. We use this information solely for identity verification and fraud prevention.

Grymey reserves the right to suspend or terminate accounts that fail to complete KYC verification or that are found to be involved in fraudulent activity.

6. Prohibited uses

You may not use Grymey to:

  • Invoice for illegal goods or services
  • Engage in money laundering or fraud
  • Collect payments on behalf of a third party without disclosure
  • Circumvent Nigerian tax or financial regulations
  • Use another person's business identity without authorisation
  • Send unsolicited communications to clients

7. Your data

You own your invoice data, client data, and business information. Grymey does not sell your data to third parties.

We use your data to provide and improve our services, comply with legal obligations, and prevent fraud. Our Privacy Policy explains in detail how we collect, use, and protect your information.

You may export or delete your data at any time by contacting us at hello@grymey.com. Account deletion removes your personal profile but we retain transaction records as required by Nigerian financial regulations.

8. Split payments and collaborators

When you use the split payment feature, you authorise our licensed payment providers to automatically disburse agreed percentages of collected payments to nominated collaborators. You are responsible for the accuracy of split configurations and for ensuring collaborators have completed the required KYC verification.

Grymey is not responsible for disputes between you and your collaborators regarding split arrangements.

9. Limitation of liability

Grymey provides its platform on an "as is" basis. We do not guarantee uninterrupted service and are not liable for losses arising from system downtime, payment provider failures, or circumstances beyond our control.

Because Grymey does not hold or process funds, any disputes regarding payment processing, settlement timing, or fund handling should be directed to the relevant licensed payment provider (Anchor or Monnify, as applicable).

Our liability to you shall not exceed the total fees collected through your account in the 3 months preceding any claim.

10. Termination

You may close your account at any time by contacting hello@grymey.com. Any outstanding invoices or pending settlements will be processed before account closure.

Grymey may suspend or terminate your account if you breach these terms, engage in fraudulent activity, or if required to do so by law or by our payment provider partners.

11. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of Grymey after that date constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of the Federal Capital Territory, Abuja, Nigeria.
